The difference is:

The 5-speed is a true manual transmission (i.e. you get a clutch pedal), and the E-shift is an automatic that has override to tell it to downshift or upshift at times other than it's normal intervals.

The smoked tails are installed as part of the SportDesign Edition option package.

2002 is when they came up with smoked tail lights. But only on certain colors. Just check with the dealership, i know for sure that all Silver comes with clear, red is smoked for sure. The others, i'm not sure.

2003 E-shift is going to run around $33k w/o navi.

a couple of differences from 01 to 03 is armrest, anti-glare rear view mirror/compass. factory spoiler. leather seat trim, sports design version, cup holder...and more costmetics...

The 5 speed is just a normal manual transmission and the E-shift is automatic but you can move the shifter into a special gate so you can upshift or downshift when you want.
