auto transmission not shifting

my 94 rodeo 3.2 v6 4x4 auto transmission is not down shifting. is that sensor problems or is it transmission problems itself? can anyone give me help before i to spend alot of $ on the transmission or even selling it cheap? some of my co workers also thinks that it could be bad catalytic converter. Any input?

If the "PRND321" lights on the dash dont coincide with the floor shifter, the transmission range sensor is the culpret.

i never reallize that there was PRND321 lights on the dash......thank you rodeo02. i only had my rodeo since feb 05 and it never gave me any kind of indication of bad transmission until a couple of months ago when it just wont downshift...appreciate your input.
