Overdrive just means forth gear. Just like most automatics let you choose 2 or 3, overdrive is just 4. You leave overdrive on for normal driving, and you turn it off for towing. Also, you could could turn it off in situations where you are driving a constant speed where the transmission is sort of in between third and forth which is about 35mph.
