3.8 upgrade questions

Ok, I'd like to do some "minor" upgrading this winter, as in no internal engine stuff. Mostly I want a new intake, exhaust, and gearing...and an ECU.

Here's my questions:
1. Where can i find a 1998 3.8 V6 ECU? I see 97's and 99's, will they work or does it have to fit the year?

2. Will a 3.42 gear work in the stock differential, or will i need a new differential to accommodate. Also, do i need a new rear axle if i get a new differential?
