Tranny slipping And Exhaust Rattle

I have a 1994 explorer that just hit 150,000 miles. My original automatic trasmission recently started to slip out of gear in all but first. If you baby itwhen accellerrating this does not occur, but makes merging into traffic a royal pain. The car will not upshift at all if you do not let off the gas pedal for a few seconds. It seems that fluid is slowly leaking because about every 5000 miles i have to add fluid but i never see and stains or dripping on the driveway. My local tranny shop said it may have something to do with a "bender plate", i don't what that is so your help is needed.

Also probably unrelated, when accelerating at higher speeds there is a fierce rattling sound , I think i may be exhause related but i can't tell because i can find where its coming from when the car is stopped, if anyone has had the same problem and knows how i can fix it, your help would be appreciated.
