Correct me if imma wrong here, but a complete exhaust track would include:
1) HS Headers 2) Random Tech. cat 3) Fireball Catback Exhaust System Are there other pipes needed inbetween these?

nope, that's everything. except you might need to fabricate something so the random technology cat would fit. besides, you really don't need to replace the cat, unless your going turbo.

I think I do need to replace it. Mine is 90% rusted. When i went to replace the O2 sensor last fall, the thing almost crumpled apart when i put the wrench to it...

You don't need to fabricate anything for the cat, It is a direct fit 12 1/2 iches long part # 822230 with O2 sensor connection, designed to fit the SR20DE 2.0 engine listed for 95 thru 97 200sx $216.00 (before shipping)direct from RANDOM TECH.
