Transmission or Brake... or both?

Any advice would be helpful. I've got an '06 a/t with 5K. On a cold start, there is a 2-second long grinding noise just as the trans is about to go from 1st to 2nd. Then it goes away; unless I kill the engine for about 5 minutes. Trans fluid levels are fine. Filter or fluid pump? Or, something worse? Otherwise the shifts are smooth.

Also; when I go more than 60 mph (so all the time) am getting a vibration and humming from drivetrain. It's very high pitched, but rotors look okay. Brake issue? Also thought maybe bad wheel bearings; anyone had that on such a new car?
