Noise under emerg brake... Cat?

When I accelerate I am getting a loud thumping noise under the emergency brake area. It seems to quiet down once the car is warmer but doesn't go away. The car is also running rough like it needs a tuneup or timing although I've done both to no avail.

Ideas? Maybe something in the Cat or it is clogged or something?

99 new body 2.0 cats ALL fail between 40-60k miles.
