As far as the oil pan goes. I was quoted $600.00 for it and the rear main seal on mine by a dealer.
The noisy top end is probably the lifters and has been covered a lot on these forums. Mine was pretty noisy when I got it at 53K and I started using Mobil 1 synthetic and it was really dirty for the first few changes. It is a lot queiter now than when I bought it. Also a lot of people have used seafoam to clean with.
There are some threads about changing the lifters on this board that may help you out. I assume it is the 3.2 engine.
