2.7 to 3.2 ?

I have a 99 3.2 with lots of body damage, and have been offered a very cheap 2001 2.7 with lots of engine and motor trouble. Sounds like a great deal. Will the good engine fit in the good body? If so how much work, and would I be worth the work?
