96' tranny problems?

Hello all! I have a 96' 5.7 w/181k. Recently while driving, I found that my auto transmission wont shift into 3rd gear. It shifts from 1st to 2nd smoothly but when going into 3rd it drops out of gear completely. Fluid is up to level and good color. Has the tranny totally gone bad? Any advice is greatly appricated! I WILL POST REPLY. THANKS!!!

The 3-4 clutches are shot, very common problem in these transmissions. Only cure for it is overhaul.
