newer trannies seam to make the fluid dark BUT

if it is dark brown and it smells burnt,,,,,, that is bad news

Dark Brown oil in a tranny is never a good sign. Newer trannies do tend to have darker oil but once it has that smoke smell it usually means that it is done. You could try a new filter oil change and some TransX but like I said it sounds don. Especially if some one already did that before you got the car.

What tranny does it have in it? It should be a 4t60E.... try plugging the modulator valve vacuum line and see if she moves again. If it does stop slipping in first gear that would mean that the pressure regulator is stopped up or the modulator is bad. You can buy a new modulator but if it is the regulator, unfortunately you have to tear it down to fix it. But on the plus side you can get a lot of miles out of her running it without the modulator valve.
But that would depend on how bad the clutches are in the first place

The filter & fluid change is a good idea but I believe the Lucas stop slip works better.
