do i need a new transmission?

My car has several symptoms...what do you think? Do I need a new transmission?
1. Car will not go into overdrive when the car is cold. But if i let it run for a while before trying, it will 80% of the time.
2. The car is slow to accelerate like it is carrying a heavy load, especially from 0-20 mph.
3. When it shifts into overdrive, the rpm needle is at a higher position than usual .. 3200-3400rpms...then the needle does this slow fall to its resting position. The car runs at 1800-1900 rpms at 60-65mph..used to be around 2200 rpm at this speed in overdrive.
4. Replaced tranny fluid and filter a month ago...now its burnt up....
5. shifted from regular drive to 2nd manually to see if the gears were all working...was going about 40...there was no change in rpm, like it was only in 2nd the whole time.
What do you think...? I found a used one, but need some opinions before I spend all that money. Could it be something else?

Its possible the burnt fuild does not sound good. What year car, engine size Also get it scanned for DTC's
