My speedometer will stop working while driving down the road, and then it will shift down a gear. I'm running down the highway at almost 4,000 rpms. Its burning a lot of gas and i dont know if there is a more serious problem. Please help me.

Do you have a CEL present? Inspect the speed sensor, I believe it's located on the tail of the transmission. On an AOD, the cable must come out a certain way or else you'll damage the cable. I am not sure it's going to be the same on your trans, but it had a clip that held the cable in the sensor. You must not remove the clip, I only expanded the clip and the cable just pulled out. Sounds like you're loosing OD (didn't specify trans), if I remember correctly, the TC lock up is ECC controlled, pull codes even if you don't have a check engine light present. If it is the speed sensor, it could turn into a serious problem overtime.
