Hey Tim,
You need to know a few things about the system first.

The Permanent Code is printed on a sticker, affixed to the right-side trunk support arm.
You have the ability to enter up to three Personal Codes IF your system has the MEM 123 buttons on the Drivers Door Panel. If not, you can enter up to one Personal Code. Note: This point is under debate in several places. It seems model dependant.
The Memory 123 functions recall up to three Mirror and Driver Seat positions. Not all Town Cars have this Memory feature.
Key FOBS (remotes) are available in several types and functions. One is the MEM1, MEM2 designation on the back side of the remote, some have a small switch to shut off the function. The MEM1 opens the car and moves the Drivers Seat and Side mirrors to a preset position. MEM2 is obvious at this point. There are also FOBS with no MEM Recall designation, they just open the car and trunk without accessing the memory function.
Programming your Personal Code(s), and Remotes should be done all at the same time. If you have four remotes (the max), have all four with you when you do the programming.
Seat/Mirror memory(s) need to be Set prior to Assigning them to Personal Code(s) and Remote(s).

look in ur manual it tells u how, i had a 96 towncar and did it many times but i think is that u need ur keyless entry code to activate ur remotes to work with it.

Your right, you need the factory code, located on the trunk hinge, 5 digits, and then I followed the instructions from the manual. Thanks a heap!!!
