Tranny?

I Have A 3.8 Mustang With A 5-speed And When I Let Out The Cluch Going Into 2nd Gear, It Jumps Out And Grinds.
It Rarely Does It Above 3500 Rpm.
Could Someone Please Help Me With Whats Wrong.
