98 taurus disable

can anyone tell me how to reset or totally disable the factory alarm sys in a 98 taurus.

By alarm system, you're referring to the one that honks the horn rather than the one that will prevent the car from starting, correct? Are you looking to disable it because it randomly goes off? If so, I bet your door ajar light also comes on and the problem is a dirty door ajar sensor, probably in the driver's door. It may be easier to fix this, since it could also drain your battery, than to disable the alarm.

Since, per your PM, it sounds like the Passive Anti-Theft Security (PATS) system is the one causing the no start condition, this would not be something you can disable. It is programmed to work in conjunction with the specific ECM in your car.

Maybe provide a few more symptoms will help us help you. Does the Theft/Security indicator blink rapidly when you attempt to start the car? Since in your PM you mention "...wont let the car start. will not do anything . will not turn over." I'm curious if the radio turns on, interior lights, etc. If the radio doesn't work when the key is turned to Run either, then the problem is not the security system.
