Haha, those are in two different classes you do know that right? The E420 would have to be against a 5 series BMW but I'd say go with the Benz, the 740 spends to much gas and it's to big and ugly for my taste, I like the new body, but the E class hasn't changed till' 04 and the old ones look a lot nicer from the front anyways, like a Plane , my mom has an 01' E320.

If you cant decide I assume both vehicle's suit your lifestyle, you got good taste , with both being 10 years old it now comes down to CONDITION as to which one will outlast the other as both can be very heavy on your pocket book should there be issues down the road.
