Fourth Gear makes noise when you let off gas

Hi,
My vehicle ('98 CL 3.0 - AUTO) doesn't work correctly in 4th gear (Overdrive). For some reason when you let off the gas or hit the brake the gears grind and sometimes they jump completely out of gear.

I took it to have the transmission replaced and after the mechanic had taken it apart two times he couldnt discover the problem. He said the transmission was in perfect condition. So there wasnt much he could do.

Here's the snag! When I drive in third gear I dont have any trouble, other than the fact that the engine runs high (around 3200-3500 rpms when cruising).

With this in mind I have decided that there is a problem with the overdrive?!? I am curious if anyone else has had this problem and how they resolved it? Did you find the part online or take it to the dealer?

All answers are greatly appreciated. Please let me know if there is any other information you need to diagnose.
