1997 Wrangler ~ What's a fair price?

I'm considering a 1997 Wrangler with 6cyl and 5 speed, Hardtop. with 142,000 Miles on it. It will need new brakes. The person said he would take $3200. for it. What do you all think, should I be aware of anything?
Kelly Blue Book is about $4700. in fair condition.

Doesn't sound bad to me, I'd go for it.

I'd go for it at 3200. I'd probably just see if he would take 3000 though.
I haven't owned a TJ before, but just take a look at the underside if you can and look for anything that might look like it has been beaten to crap or may be about to break (such as anything to do with the suspension if it has been driven hard).
