what is the exact amount (quart wise) for a 4.7 liter 2000 grand cherokee. i cant find it in my owners manual.

You can use ATF +4 where 3 is recomended- ATF+4 is (apperantly)better fluid. Contact the dealership and consult them-If your manual says +3 then it would certainly be OK to use ATF+3. The +4 has been added since your jeep was built.

5 quarts and 14 quarts is a big difference. didnt know if overhaul meant that draining it, will lead to me needing 14 quarts

Overhaul means all the fluid is out of the system (when you rebuild or replace a tranny). There is also fluid in the torque converter that nomally does not drain out when doing a standard fluid change. I am not real sure why there is such a difference in capacity though???
